Terms of Service

These Terms of Service ("Terms") govern your use of the GetDigitalSaathi platform ("Platform", "Service") operated by GetDigitalSaathi ("Company", "we", "us"). By creating an account or using our Service, you agree to be bound by these Terms. If you do not agree, please do not use our Service.

1. Service Description

GetDigitalSaathi is an AI-powered e-commerce management platform designed to help Indian small and medium businesses (SMBs) establish and manage their online presence. Our services include, but are not limited to:

Custom website and online store creation
AI-generated product descriptions, images, and social media content
Listing management on Amazon, Flipkart, and Meesho
Facebook Page, Instagram Business, and WhatsApp Business setup and management
Order management and shipping integration via Shiprocket
Custom domain registration and configuration
Inventory synchronisation across all connected channels

2. User Accounts and Responsibilities

To use our Platform, you must:

Be at least 18 years of age
Provide accurate and complete registration information
Maintain the confidentiality of your account credentials
Be responsible for all activity that occurs under your account
Notify us immediately of any unauthorised access

You are solely responsible for the accuracy of all business information provided, including but not limited to GST numbers, PAN, bank details, and product information. Providing false or misleading information may result in immediate account termination.

3. Service Packages and Pricing

Our services are offered through tiered packages, each consisting of:

One-time Setup Fee: Charged at the time of onboarding to cover initial store creation, product listing, and channel setup
Monthly Subscription: Recurring charge for ongoing platform access, AI content generation, marketplace sync, and support

Package details and pricing are displayed on our Platform and may be updated from time to time. We will notify existing subscribers at least 15 days before any price increase takes effect on their account. All prices are listed in Indian Rupees (INR) and are exclusive of applicable GST unless stated otherwise.

4. Payment Terms

All payments are processed securely through Razorpay, a PCI-DSS compliant payment gateway
Monthly subscriptions are auto-renewed unless cancelled before the billing date
Failed payment attempts will be retried up to 3 times over 7 days; if payment continues to fail, the account may be suspended
Setup fees are non-refundable once the onboarding process has commenced (i.e., store setup or listing work has begun)
Monthly subscription refunds may be issued on a pro-rata basis at our sole discretion within 7 days of the billing date, provided no significant service has been rendered in that billing cycle
Refund requests must be sent to admin@getdigitalsaathi.com with the subject line "Refund Request"
Approved refunds will be credited to the original payment method within 7-10 business days

5. Intellectual Property

Our IP: The Platform, its design, codebase, AI models, branding, logos, and proprietary technology are the exclusive intellectual property of GetDigitalSaathi. You may not copy, modify, reverse-engineer, or distribute any part of our Platform.

Your Content: You retain ownership of all content you upload to the Platform (product photos, descriptions, business data). By uploading content, you grant us a non-exclusive, royalty-free licence to use, display, and process your content solely for the purpose of providing our services to you.

AI-Generated Content: Content generated by our AI tools (product descriptions, social media posts, images) is provided for your use in connection with your business on our Platform and associated channels. You may use this content freely for your business purposes.

6. Third-Party Services

Our Platform integrates with third-party services including Google (Gemini AI), Meta (Facebook, Instagram, WhatsApp), Amazon, Flipkart, Meesho, Shiprocket, Razorpay, and GoDaddy. Your use of these integrations is also subject to the respective third party's terms of service and privacy policies. We are not responsible for the availability, accuracy, or actions of any third-party service. Changes to third-party APIs or policies may affect the availability of certain features on our Platform.

7. Acceptable Use

You agree not to:

Use the Platform for any unlawful purpose or in violation of Indian law
List or sell prohibited, counterfeit, or illegal products
Attempt to gain unauthorised access to our systems or other users' accounts
Interfere with or disrupt the Platform's infrastructure
Scrape, data-mine, or extract data from our Platform through automated means
Resell or sub-license access to our Platform without written permission
Upload content that infringes on others' intellectual property rights

8. Limitation of Liability

To the maximum extent permitted by Indian law, GetDigitalSaathi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, sales, or business opportunities, arising from your use of the Platform.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the total amount paid by you to us in the 3 months preceding the claim.

We do not guarantee specific sales outcomes, marketplace approval, or business results. The Platform is a tool to assist your business operations, and results depend on various factors beyond our control.

9. Termination

By You: You may cancel your subscription and request account deletion at any time by contacting us at admin@getdigitalsaathi.com
By Us: We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or fail to make payments after the grace period
Effect of Termination: Upon termination, your access to the Platform will cease. We will retain your data for 90 days to allow for data export, after which it will be permanently deleted (subject to legal retention requirements)

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall first be attempted to be resolved amicably through good-faith negotiation within 30 days.

If the dispute is not resolved amicably, it shall be referred to and finally resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The seat of arbitration shall be Mumbai, Maharashtra, India. The arbitration shall be conducted by a sole arbitrator appointed by mutual consent. The language of arbitration shall be English.

The courts of Mumbai, Maharashtra shall have exclusive jurisdiction over any matters not subject to arbitration.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Platform at least 15 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
